Terms of Service
The agreement behind the work. What we do, what we need from you, what you own, and what nobody in this field can honestly guarantee.
Last updated September 2, 2026
What this covers
These terms govern the managed findability programs SearchCompass provides, operated by BizLink LLC ("we", "us"). They apply from the day your program begins.
Three other documents sit alongside these and form part of the same agreement:
- The Billing Policy governs anything to do with money: what is charged, when, failed payments, changing plans and refunds.
- The Privacy Policy governs information about you and your business.
- The Website Terms govern use of searchcompass.ai.
If any of them conflicts with these terms, the document that owns the subject wins on that subject: the Billing Policy on money, the Privacy Policy on information, and these terms on everything else about the service.
The service
We run an ongoing program of findability work on your behalf across eight areas: AI answers, answer engine optimization, organic search, Google Business Profile and maps, reviews and reputation, content, press and citations, and structured data. What is included in each plan is listed on our pricing page and is part of this agreement.
It is a monthly service rather than a fixed project. You are buying a program of work run during the month, and the specific mix of activity may shift as the work and the platforms require.
How we will work
We will perform the work with the care and skill reasonably expected of a competent professional in this field. A senior person who knows your market runs your account.
We may use subcontractors or specialist help for parts of the work. Where we do, we remain responsible to you for it.
We will not use tactics that violate the published guidelines of Google or any other platform your visibility depends on. If you ask us to do something we believe puts your standing at risk, we will tell you and decline.
What we need from you
The program depends on a small amount of cooperation. Specifically:
- Attending the kickoff session and giving us the background only you have.
- Access to your website and Google Business Profile, and to any other account the work requires.
- Reviewing and approving content within a reasonable time.
- Telling us about material changes to your business - a service you stopped offering, a location that closed, a name that changed.
Where information or approvals are outstanding, we will keep working on everything we can and tell you what is held up. Delays on your side may move timelines but do not change what is billed.
Approvals and your name
Content published under your name is shown to you before it goes out. Approval may be explicit or, where we have said we intend to publish on a stated date and heard nothing, by your not objecting before that date.
You are responsible for the accuracy of factual claims about your own business, credentials, licensing and results. We write it; you are the one who knows whether it is true.
We will not publish anything we believe to be false or misleading, and we will not make claims on your behalf that your profession prohibits.
Fees
Fees, billing cycle, changes of plan, cancellation and refunds are set out in the Billing Policy. Third-party costs bought on your behalf - press distribution, paid directories, stock imagery and similar - are quoted and approved separately before we spend anything.
Content and ownership
What is yours. Articles, posts, press releases, page copy and other content we publish for you under your name is yours. It stays yours if we stop working together, and on request within thirty days of your program ending we will hand over the work produced during it.
What is ours. Our methods, templates, scoring, internal documentation, and the CompassIQ platform and everything in it remain ours. Nothing in this agreement transfers them, and improvements we make while working on your account do not become yours.
What you give us. You keep ownership of material you provide - logos, photographs, existing copy, client information. You grant us permission to use it for the purpose of running your program, and you confirm you have the right to give us that permission.
Confidentiality
Each of us will keep the other's confidential information confidential, use it only for this engagement, and continue to do so for three years after the program ends. That covers your business information and our methods and pricing alike.
It does not cover information that is already public, that either of us knew beforehand, or that the law requires be disclosed.
We will not name you as a client publicly without your permission. If you are happy for us to, tell us and we will ask you to approve the wording first.
Our people
This is a small team. While your program is running and for twelve months afterwards, please do not directly solicit our staff or contractors to leave and work for you. Responding to a general job advertisement is not solicitation.
What we cannot promise
This section matters more than the rest, so it is in plain language.
Search engines and AI assistants decide independently who to name. Their rules change without notice and without consulting anyone. We cannot guarantee rankings, placement in AI answers, traffic, inquiries or revenue, and we do not. Anyone in this field who does is either guessing or misleading you.
What we commit to is the work: performed properly, reported honestly every week, and adjusted as the platforms move. Results follow good work over time, but the timeline is not entirely within anyone's control.
Findability work compounds. Technical and profile fixes show up within weeks; being named in AI answers depends on published work and third-party sources accumulating, which takes months. It is not a quick fix and we will not pretend otherwise.
Third-party platforms
Your visibility depends on services none of us controls: Google, the AI assistants, review platforms, directories and the press. Those services may change their rules, suspend accounts, remove content or disappear. We are not responsible for their decisions, outages or policy changes, though we will tell you promptly when one affects you and adjust the work accordingly.
Term and ending it
The program runs month to month from the date it begins. Either of us may end it with thirty days written notice, given in writing to [email protected] and effective when received. Your program continues through that notice period, and what is billed during it is covered in the Billing Policy.
We may suspend or end the program immediately if fees remain unpaid after we have contacted you, or if we are asked to do something unlawful or materially misleading.
When the program ends: outstanding fees remain payable, your content remains yours, we remove CompassIQ from your site on request, and the confidentiality, ownership, non-solicitation and liability sections survive.
Disclaimer of warranties
Beyond the standard of care set out above, the service is provided without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions do not permit certain disclaimers, so parts of this may not apply to you.
Limitation of liability
Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, however caused.
Our total liability for any claim arising from the service is limited to the fees you actually paid us in the twelve months before the claim arose. Nothing here limits liability for fraud or for anything the law does not permit to be limited.
Indemnification
You will hold us harmless from claims arising out of material you supplied, factual claims about your business that turn out to be inaccurate, or instructions you gave us over our stated objection.
We will hold you harmless from claims arising out of our gross negligence or intentional misconduct.
Our relationship
We are an independent contractor, not your employee, partner or agent, and nothing here creates a partnership or joint venture.
The relationship is non-exclusive. We work with other clients, which may include businesses in your category and in your market. What does not travel between accounts is your confidential information, which stays confidential under the section above regardless of who else we work with.
Governing law and disputes
This agreement is governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules.
If something goes wrong, email [email protected] first. Most disagreements are settled in a conversation. Any dispute that cannot be resolved that way will be settled by binding arbitration before a single neutral arbitrator in Maricopa County, Arizona, under the rules of the American Arbitration Association. Claims must be brought individually rather than as a class action, and the prevailing party may recover reasonable attorneys' fees and costs.
Everything else
Notices. Email to [email protected], and to the address you gave us, counts as written notice.
Changes. We may update these terms. Current clients will be told directly before a material change takes effect, and the date at the top of this page shows when they last changed.
Assignment. Neither of us may assign this agreement without the other's consent, except to a successor of substantially the whole business.
Force majeure. Neither of us is liable for delay caused by events beyond reasonable control. This does not excuse payment of fees already owed.
Severability and entire agreement. If any part is unenforceable, the rest stands. Together with the Billing Policy, Privacy Policy and Website Terms, this is the whole agreement between us about the service.
